User Submission Terms

Please read the following user submission terms (the “Submission Terms”) carefully. By submitting to Jacktra online submission form, you understand and agree that these submission terms are binding between Go Jacktra LLC, company of Jacktra, its affiliates, licensees, successors, agents, and assigns (collectively, “Producer”) and you (“You” or “Your”) a user submitting or providing content including without limitation, social media accounts, footage, photos, text, information, and any other materials (collectively, the “Content”).

By submitting the Content, You hereby irrevocably grant to Producer the non-exclusive, royalty-free, irrevocable, perpetual right, but not the obligation, to use the Content, in any and all formats and/or forms of media now known or hereafter devised, in whole or in part, throughout the universe, for editorial, commercial, promotional, or any other purpose, including without limitation in and in connection with content that may publish on Jacktra (the “Producer Content”). You agree that Producer shall have the right to use, edit, alter, reproduce, display, perform, create derivative works based upon, or otherwise use the Content in Producer Content.

You will retain all rights to the Content, while the Producer will own all rights to the Producer Content.

By submitting the Content, you also provide your consent for the Producer to store any information you provide, including but not limited to your name, email address, or social media accounts (collectively referred to as “Information”). The Producer may use this Information to contact you regarding the Content.

Either party, whether You or the Producer, holds the right to terminate this agreement by providing a written notice of thirty (30) days to the other party. This notice can be sent via email and will be considered sufficient. In the event that the Producer has already displayed, distributed, or incorporated the Content into any Producer Content prior to termination, the Producer is not obligated to remove such Content after the agreement has ended. By submitting the Content, You release Producer from, and shall not bring any claims or legal proceedings against Producer for the following: (i) Any known or unknown claim or cause of action, including defamation, invasion of privacy, trademark infringement, copyright infringement, or similar matters; (ii) Any liability arising from the use, exhibition, display, performance, exploitation, or distribution of the Content or any part of the Producer Content; (iii) Any claim for consideration, compensation, or damages related to the Content’s use, participation in the Producer Content, or the rights granted under this agreement; (iv) Any harm, injury, emotional distress, or loss caused by or resulting from the use of the Content. You agree to indemnify, defend, and hold the Producer harmless for any breach of the representations and warranties made by You in this agreement. You also waive any right to inspect or approve the use of the Content, as well as any “moral rights” associated with the Content or Producer Content. Furthermore, You waive the right to seek injunctive relief and acknowledge that Your sole remedy for any claims against any Released Party in connection with the granted rights is limited to pursuing an action at law to recover actual damages. These Submission Terms do not provide You with the right to terminate, rescind, or interfere with the Project or any Released Party’s use of the Project.

You acknowledge and consent that this represents a comprehensive RELEASE and DISCHARGE of all claims and rights against each Released Party.

You agree that no further action will be pursued by You or on Your behalf concerning such rights. It is understood that these Submission Terms shall remain binding upon Your heirs, executors, and administrators. These Submission Terms shall be interpreted and governed by the laws of the state of New Jersey, excluding its conflicts of laws principles.

You affirm and guarantee that (i) the Content provided by You is accurate to the best of Your knowledge, and granting the rights specified in this agreement will not violate or infringe upon any third-party rights, including but not limited to copyright, right of publicity, or invasion of privacy. It also does not necessitate obtaining permission from or making any payments to third parties. (ii) You are at least eighteen years old and possess the complete legal capacity and authority to consent to these Submission Terms and grant the rights described herein. (iii) You have thoroughly read and comprehended these Submission Terms before submitting the Content.
